Terms of Service

1. Acceptance of Terms

By accessing and using Kemeny Studio services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the service.

2. Description of Service

Kemeny Studio provides AI consulting and implementation services for businesses. Our services include AI product development, strategic consulting, custom solutions, applications, APIs, and tool servers (including connectors and MCP servers) that may integrate with third-party AI assistants such as OpenAI ChatGPT. Use of each application may also be subject to additional product-specific terms.

3. Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. If you create an account, you are responsible for safeguarding your credentials and for all activity that occurs under your account.

4. Acceptable Use

You agree not to misuse the Services. This includes violating any law, infringing intellectual property, attempting to gain unauthorized access, transmitting malware, scraping or overloading the Services, or using outputs to harm others or to make automated decisions with legal effects without human review.

5. AI Outputs and No Professional Advice

Our AI tools and MCP servers generate analysis from data sources that may be incomplete or inaccurate. Outputs are provided for informational purposes only and do not constitute legal, financial, investment, or other professional advice. You should verify outputs before relying on them.

6. Intellectual Property

All content, trademarks, and materials available on our website are the property of Kemeny Studio or its licensors. Using, copying, or distributing any content without prior written authorization is prohibited.

7. Third-Party Services

The Services may integrate with or link to third-party platforms, such as OpenAI ChatGPT and our hosting and analytics providers. Your use of those platforms is governed by their own terms and policies, and we are not responsible for them.

8. Disclaimers and Warranties

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Kemeny Studio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising from your use of the Services. Some jurisdictions do not allow these limitations, so they may not apply to you.

10. Indemnification

You agree to indemnify and hold Kemeny Studio harmless from any claims arising out of your misuse of the Services or your violation of these Terms.

11. Termination

We may suspend or terminate access to the Services at any time for violation of these Terms or as required by law.

12. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction of the Kemeny Studio entity providing the Service to you (Chile or Mexico), without regard to conflict-of-law rules. Mandatory consumer-protection rights in your country of residence remain unaffected.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new "Last updated" date, and your continued use of the Services constitutes acceptance.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

Privacy Policy

This Privacy Policy applies to our website and to all applications, APIs, connectors, and tool servers we offer (collectively, the "Services"), including MCP servers that may be invoked through third-party AI assistants such as OpenAI ChatGPT.

1. Who We Are (Data Controller)

Kemeny Studio provides the Services through its Chilean and Mexican entities, which act as the data controllers (responsables del tratamiento) for the personal data described here. Our registered addresses are: Mexico: Ruben Dario 261, CP 11560, Polanco, Ciudad de Mexico. Chile: Rafael Canas 270, CP 750000, Providencia, Santiago. 2. Information We Collect

We collect the following categories of information:

  • Information you provide: name, email address, contact details, company, job title, and communications you exchange with us.
  • Tool inputs: the parameters and queries that you, or an AI assistant acting on your behalf, send to our applications, APIs, and MCP servers (for example, search terms, location names, categories, or filters). Our tools do not require personal data to function, and we ask that you not include sensitive information in queries.
  • Tool outputs: the results, analysis, and datasets we return in response to a query. Where these results are derived from public data sources, they contain no personal information.
  • Technical and usage data: IP address, request metadata, timestamps, error logs, and website analytics data.

3. Legal Bases for Processing

Where the EU or UK GDPR applies, we rely on the following legal bases:

  • Performance of a contract: to provide the Services you request.
  • Legitimate interests: to secure, maintain, and improve the Services and prevent abuse, balanced against your rights and freedoms.
  • Consent: for non-essential cookies and certain marketing, which you may withdraw at any time.
  • Legal obligation: to comply with applicable law.

4. How We Use Your Information

We use the information for the following purposes:

  • Operate our tools: process your inputs to generate and return a response.
  • Maintain, secure, and improve the Services, including debugging, reliability, and abuse prevention.
  • Communicate with you and respond to your requests.
  • Comply with legal obligations.

We do not sell your personal information, and we do not use tool inputs to train AI models.

5. AI Assistants and MCP Servers

When you access one of our Services through a third-party AI assistant (for example, OpenAI ChatGPT), that assistant transmits your inputs to our tools and receives our outputs as part of your conversation. Those inputs and outputs are processed by and visible to the assistant provider under its own privacy policy. We process inputs primarily in memory to generate the requested response. We recommend not sending personal or confidential data through these tools.

6. Who We Share Data With

We share data only with service providers who help us operate the Services, under contractual confidentiality and security obligations:

  • OpenAI: when a Service is invoked through ChatGPT or another OpenAI platform, OpenAI processes the tool inputs and outputs.
  • Hosting providers (Vercel, Railway): host our websites and application servers and process requests transiting the Services.
  • Supabase: provides the database and backend where we store application datasets, analytics events, and operational logs.
  • Email and analytics providers (Resend, Google, Vercel Analytics): for transactional email and to understand site usage.
  • Authorities, where required by law.

7. International Data Transfers

We and our service providers (including OpenAI, Vercel, Railway, Supabase, Resend, and Google) may process data in the United States and other countries outside your own. Where we transfer personal data from the EEA, UK, Mexico, or Chile to other countries, we rely on appropriate safeguards such as the European Commission Standard Contractual Clauses and equivalent mechanisms, and we require recipients to protect the data.

8. Data Retention

We retain information only for as long as necessary for the purposes described. Inputs to our tools are processed primarily in memory to generate a response. Where we keep operational logs (for reliability, debugging, and abuse prevention), we aim to retain them for no longer than 90 days unless a longer period is required by law. Contact data you provide is kept for the duration of our business relationship and as required by law.

9. Security

We use technical and organizational measures such as encryption in transit, access controls, and least-privilege practices to protect personal data. No method of transmission or storage is completely secure, so we cannot guarantee absolute security.

10. Children's Privacy

The Services are intended for business users and are not directed to children under 16. We do not knowingly collect personal data from children. If you believe a child has provided us data, contact privacy@kemenystudio.com and we will delete it.

11. Automated Decision-Making

Our AI tools generate analysis and suggestions, but we do not use them to make decisions that produce legal or similarly significant effects about you without human involvement. Tool outputs are informational and should be reviewed by a person before being acted upon.

12. Your Rights and Controls

You have the right to access, correct, export, or delete your personal information, and to object to or restrict certain processing. Contact us at privacy@kemenystudio.com to exercise these rights. Depending on where you live, you may have additional rights described in the Regional Privacy Rights section below. You can manage cookies through your browser settings.

13. Changes to This Policy

We may update this policy to reflect changes in our practices or the law. We will post the updated version here with a new "Last updated" date and, where required, notify you or seek your consent. In Mexico, updates to this Aviso de Privacidad are made available on this page.

Regional Privacy Rights

Depending on where you live, you have additional rights. You can exercise any of these rights by contacting privacy@kemenystudio.com. We will respond within the timeframes required by applicable law and will not discriminate against you for exercising your rights.

European Economic Area & United Kingdom (GDPR)

If you are in the EEA or the UK, you have the right to:

  • Access your personal data and obtain a copy.
  • Rectify inaccurate or incomplete data.
  • Erase your data (the right to be forgotten).
  • Restrict or object to processing, including direct marketing.
  • Receive your data in a portable format (data portability).
  • Withdraw consent at any time, without affecting prior processing.

You also have the right to lodge a complaint with your local supervisory authority (Data Protection Authority).

California (CCPA / CPRA)

If you are a California resident, you have the right to:

  • Know the categories and specific pieces of personal information we collect, the sources, the purposes, and the categories of third parties with whom we share it.
  • Delete personal information we hold about you.
  • Correct inaccurate personal information.
  • Opt out of the sale or sharing of personal information. We do not sell your personal information and we do not share it for cross-context behavioral advertising.
  • Limit the use of sensitive personal information.
  • Not be discriminated against for exercising your rights.

You may use an authorized agent to submit requests, and we will verify your identity before responding.

Mexico (Aviso de Privacidad - LFPDPPP)

Under Mexico's Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP), the responsable is the Kemeny Studio Mexican entity at Ruben Dario 261, CP 11560, Polanco, Ciudad de Mexico. Primary purposes (finalidades primarias) are to provide and operate the Services you request. Secondary purposes (finalidades secundarias) are analytics and marketing, which you may decline without affecting the primary service.

  • Access (Acceso): know what data we hold about you.
  • Rectification (Rectificacion): correct inaccurate or incomplete data.
  • Cancellation (Cancelacion): request deletion of your data.
  • Opposition (Oposicion): object to specific processing.
  • Revoke consent and limit the use or disclosure of your data.

Submit requests to privacy@kemenystudio.com stating your name and the right you wish to exercise. If you believe your rights were not properly addressed, you may contact the INAI (Instituto Nacional de Transparencia, Acceso a la Informacion y Proteccion de Datos Personales).

Chile (Ley 19.628 / Ley 21.719)

Under Chilean data protection law (Ley 19.628, as updated by Ley 21.719), the responsable is the Kemeny Studio Chilean entity at Rafael Canas 270, CP 750000, Providencia, Santiago.

  • Access your personal data.
  • Rectify inaccurate data.
  • Cancel (delete) your data.
  • Oppose specific processing.
  • Request data portability and revoke consent.
